    NDA Workflow

    Request, track, and manage NDAs with brokers and sellers.

    What is an NDA?

    An NDA (Non-Disclosure Agreement) is a legal document that protects confidential information about a business. Brokers typically require an signed NDA before sharing the CIM.

    Requesting an NDA

    Two ways to request an NDA:

    Method 1: From the Deal Feed

    1. Open a deal card
    2. Click Request NDA
    3. Review and edit the pre-filled email and broker address
    4. Click Send Email to open your email client, or Copy the message

    Method 2: From Your Pipeline

    1. Open a deal in "Interested" stage
    2. Find the "Request NDA" task
    3. Click to send the request

    The Request NDA Email

    Searcher OS pre-fills a professional NDA request email. You can edit the message directly in the Request NDA window before sending, and choose whether to include your Buy Box, About Me, and a link to your buyer profile.

    Tracking NDA Progress

    There's no separate NDA status field. Your NDA progress lives in the pipeline stage and the tasks on the deal:

    Interested stage

    The deal carries two tasks: Request NDA and Receive NDA. Work through them as you reach out to the broker and get the NDA back.

    NDA Signed stage

    Once you've signed, move the deal here. It carries a Sign NDA task to confirm your copy is done.

    CIM Review stage

    With the NDA done, the deal advances here and a Receive CIM task appears so you can get the financials from the broker.

    Auto-Signals from Email

    If you connect your email, Searcher OS detects NDA-related emails, auto-completes the matching task, and can advance the deal to the next stage:

    • NDA received: completes the "Sign NDA" task and can advance the deal to the NDA Signed stage
    • CIM received: completes the "Review CIM" task on the CIM Review stage

    Auto-completion and auto-advance only happen when email is connected and an NDA email is detected. Without it, you complete the task and move the deal yourself on the pipeline board.

    What Happens Next?

    Once the NDA is signed:

    1. The "Sign NDA" task is completed (automatically if email is connected, or by you)
    2. The deal moves to the "NDA Signed" stage
    3. The deal advances to "CIM Review" with a "Receive CIM" task
    4. You can now get the CIM from the broker
