    CIM Upload & Analysis

    Upload and analyze Confidential Information Memorandums with AI.

    What is a CIM?

    A CIM (Confidential Information Memorandum) is a detailed document prepared by the seller/broker about a business for sale. It typically includes financial statements, business history, customer information, and more.

    Uploading a CIM

    1. Open the deal you want to analyze (from your Deal Funnel or My Deals)
    2. Scroll to the Documents section and open the CIM & Teasers panel
    3. Click Upload CIM, then choose the Upload PDF tab (or paste a URL)
    4. Select the PDF file (max 50MB)
    5. Wait for upload and processing to complete

    Supported Formats

    CIM analysis accepts PDF files only (max 50MB). Non-PDF files are not accepted.

    Analysis Results

    An executive summary appears at the top of the analysis. Below it, the results are organized into tabs:

    • Financials: Detailed financial extraction
    • Add-Backs: EBITDA adjustments (shown when the CIM includes them)
    • Deal Health: Overall assessment of the deal
    • Risk: Identified risk factors
    • Business: Business details and operations
    • Broker Qs: Suggested questions to ask the broker

    Processing Status

    CIM analysis goes through these stages:

    1. Uploaded: File has been uploaded
    2. Text extracted: Text is pulled from the PDF
    3. AI analysis: Profile extraction, risk analysis, and executive summary run
    4. Complete: Analysis ready for review

    If something goes wrong, the analysis can also end in a Failed state.

    Correcting a Value

    If a value looks wrong, you can fix it yourself. Click the edit (pencil) icon next to the value and enter the correct number. Your edit is saved as an override, and the original AI value is kept in the field's history so you can always see what changed.

    Re-analyzing

    If you receive an updated CIM file, you have two options:

    • Add it alongside: Upload another CIM and it's added to the deal's documents. The newest CIM is used for analysis.
    • Replace in place: Open the current analysis and use Replace CIM. This clears the current analysis, re-runs it on the new PDF, and resets your overrides. The old PDF is kept for audit.
